Terms of Service

1. Eligibility

You must be at least 18 years old and capable of entering into a binding contract in your jurisdiction to use the Service. By using the Service you represent that you meet these requirements and that your use of the Service does not violate any law or regulation that applies to you.

The content on the Service — including IPO calendars, prospectus summaries, pricing ranges, valuations, underwriter lists, AI-generated summaries, charts, scores, and any other data — is provided for general informational and educational purposes only. It does not constitute, and should not be relied upon as, investment, financial, legal, tax, or accounting advice, a recommendation, an offer to sell, or a solicitation of an offer to buy any security.

You are solely responsible for your investment decisions. You should independently verify all information, read the relevant SEC filings, and consult a licensed financial advisor before making any investment.

3. Data sources and accuracy

The Service combines data from third-party providers such as Finnhub, Financial Modeling Prep, and SEC EDGAR, together with AI-generated summaries. Although we work to keep the data accurate and up to date, we cannot guarantee that any information is complete, current, or free from error. Market data may be delayed. IPO dates, price ranges, and deal terms change frequently and without notice.

4. Accounts

Some features require an account. You agree to provide accurate information, to keep your credentials confidential, and to be responsible for all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

5. Acceptable use

You agree not to:

• scrape, harvest, or bulk-download data from the Service except through interfaces we explicitly provide;
• resell, sublicense, or redistribute the Service or its data without written permission;
• interfere with, probe, or attempt to bypass the security, rate limits, or integrity of the Service;
• use the Service to violate any law, infringe any right, or transmit malware; or
• use automated systems (bots, crawlers) in a way that imposes an unreasonable load.

6. Intellectual property

The Service, including its design, code, branding, and original content, is owned by IPO Radar and its licensors and is protected by intellectual property laws. Third-party market data remains the property of its respective providers. We grant you a limited, revocable, non-exclusive, non-transferable license to access the Service for personal, non-commercial use, subject to these Terms.

7. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ANY DATA WILL BE ACCURATE OR RELIABLE.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IPO RADAR AND ITS OPERATORS, OFFICERS, AND CONTRIBUTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR INVESTMENT LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED USD $100 OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify and hold harmless IPO Radar from any claim, loss, or expense (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party right.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including suspected violations of these Terms. You may stop using the Service at any time. Sections that by their nature should survive termination will survive.

11. Changes to the Service or these Terms

We may modify the Service or these Terms at any time. Material changes will be reflected by updating the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. You agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising out of or relating to these Terms or the Service, except where prohibited by local law.
